General Terms and Conditions

These General Terms and Conditions form part of the Site Terms governing the use of the Optimasi Marketplace service offered by CV. Solusi Optimasi Mandiri. Users are expected to read these General Terms and Conditions carefully, as they may affect the User’s legal rights and obligations. If the User does not agree with any, part of, or all of these General Terms and Conditions, the User may not use our service.

I. Optimasi Marketplace Services

  • Optimasi Marketplace is a service provided by CV. Solusi Optimasi Mandiri to improve marketplace efficiency and performance using proprietary algorithms developed to optimise the user experience.
  • The service includes, but is not limited to, product algorithm configuration, ad management, seller and buyer data analysis, and more accurate pricing strategies.
  • The Optimasi Marketplace service may only be used by sellers registered on our Site/Application.
  • Sellers may activate the Optimasi Marketplace service through the registration provided on our Site/Application, and must meet the requirements listed on the registration page.
  • Sellers agree to pay the service fees charged by Optimasi Marketplace in accordance with the applicable terms.

II. Use of Data

  • The Seller consents to CV. Solusi Optimasi Mandiri collecting, storing and processing data relevant to the use of Optimasi Marketplace.
  • The data collected will be used to develop and improve the service and to analyse marketplace performance.
  • The Seller agrees that the data collected may be shared with third parties (including partners or sub-partners) involved in providing the Optimasi Marketplace service.

III. Service Eligibility

  • The Optimasi Marketplace service may only be accessed by users who have met all registration requirements set by CV. Solusi Optimasi Mandiri.
  • The Seller agrees to follow the guidelines and terms applicable to the use of this service, including terms relating to the content and products offered.
  • CV. Solusi Optimasi Mandiri reserves the right to terminate service access if a breach of these General Terms and Conditions or other provisions is found.

IV. Taxes

  • The Seller is responsible for meeting any tax obligations arising from the use of the Optimasi Marketplace service in accordance with applicable law.
  • Service fees include Value Added Tax (VAT); however, income tax remains the Seller’s own responsibility.

V. Seller Representations and Warranties

  • The Seller warrants that the information provided when registering and using the service is true and accurate.
  • The Seller is fully responsible for the products marketed on the marketplace, including the validity of any accompanying documents.
  • The Seller ensures that the products sold do not violate the law, the intellectual property rights of others, or applicable regulations in Indonesia.

VI. Termination of Service

  • The Seller may end their use of the Optimasi Marketplace service at any time through the communication channels provided.
  • CV. Solusi Optimasi Mandiri reserves the right to terminate the service if the Seller breaches these General Terms and Conditions or if legal issues arise in connection with the use of the service.
  • Following termination, the Seller must settle any outstanding obligations within 60 (sixty) calendar days.

VII. Intellectual Property Rights

  • All intellectual property rights relating to the algorithms, design and technology used in the Optimasi Marketplace service belong to CV. Solusi Optimasi Mandiri and are protected by applicable law.
  • The Seller may not use the name, logo, trademark or other intellectual property owned by CV. Solusi Optimasi Mandiri without prior written consent.

VIII. Payment and Refund Policy

  • Payment of Optimasi Marketplace service fees must follow the prescribed procedure.
  • The Seller understands that no refund is available once the service has been delivered or is already being implemented.

IX. Other Provisions

  • CV. Solusi Optimasi Mandiri reserves the right to change or update these General Terms and Conditions at any time with prior notice.
  • The Seller agrees to comply with all rules applicable under these General Terms and Conditions.
